Time Warner's offer values Endemol at $1.4 billion, including $825 million of remaining senior debt and $550 million of new equity from Time Warner, Reuter reported Friday.

Endemol is in the process of restructuring its $3.8 billion in loans after failing to meet banking agreements, which lenders have agreed to waive until mid-November. If Time Warner deal goes through, the rest of Endemol's debt would be written down.

In Aug 2010, Time Warner paid $160 million to take control of Shed Media, the company behind shows including "Supernanny."
